Ministerial Association of Colusa County Bylaws
Article I – Name & Purpose
Section 1.1 – The name of this organization shall be the “Ministerial Association of Colusa County” (Commonly referred to as “MACC.”). MACC is an unincorporated Association qualified as an IRC 501(c)(3) nonprofit organization.
Section 1.2 – MACC exists to glorify God and share the good news of Jesus Christ through support, cooperation, and charitable works among associated members and participants.
Article II – Participation & Membership
Section 2.1 – Participation in MACC is the deliberate association of clergy or designated lay leaders of established churches in the Christian tradition.
Section 2.1.1 Established churches means those churches that maintain regular and consistent worship services held at, known in advance, places of worship.
Section 2.2 – Membership in MACC is open to one member of the clergy of each established church, based upon agreement with the MACC Statement of Common Understanding and approval by the Board of Directors.
Section 2.2.1The Statement of Common Understanding is as follows:
We believe the Bible to be the only inspired, infallible, authoritative Word of God.
We believe that there is one God, eternally existent in three persons: Father, Son and Holy Spirit.
We believe in the deity of our Lord Jesus the Christ, in His virgin birth, in His sinless life, in His miracles, in His vicarious and atoning death through His shed blood, in His bodily resurrection, in His ascension to the right hand of the Father and in His personal return in power and glory.
We believe that for the salvation of lost and sinful humanity, regeneration by the Holy Spirit through faith in Jesus the Christ is absolutely essential.
We believe in the present ministry of the Holy Spirit by whose indwelling the Christian is enabled to live a godly life.
We believe in the resurrection of both the saved and the lost, they who are saved unto the resurrection of life and they who are lost unto the resurrection of damnation.
We believe in the spiritual unity of believers in our Lord Jesus the Christ.
We believe that all human life is sacred and made in the image of God. Consequently, must have concern for the spiritual and physical needs of all people.
We believe human sexuality is to be expressed only within the context of monogamous marriage. Further, the examples of marriage in scripture portray marriage as a union of a male to a female.
Section 2.3 – MACC Members will elect a Board of Directors from the MACC Membership. Membership will vote on matters brought by the Board of Directors.
Section 2.4 – The Board of Directors may remove an individual from participation and/or membership for cause by a two-thirds (2/3) vote of members of the Board of Directors.
Article III ‑ Governance
Section 3.1 – The administration and governance of MACC and its ministries, functions, staff, and programs in fulfillment of its purposes will be entrusted to a Board of Directors. The Board of Directors shall consist of a minimum of three and maximum of five MACC members as voted upon by a majority of MACC Members.
Section 3.2 – The Board of Directors must include the following officers: President, Treasurer, and Secretary. Any Director who is hired as staff will not serve as an officer.
- a) Responsibilities of the President:
- Notify MACC participants and members before each general meeting.
- Set agenda for both board and general meetings.
- Chair all meetings.
- Publish the agenda prior to meetings.
- Oversee yearly review of all employees.
- b) Responsibilities of the Secretary:
- Record minutes of all meetings.
- Distribute minutes to the Directors prior to the next meeting.
- File minutes and pertinent documents electronically and physically.
- Chair meetings in the absence of the President.
- c) Responsibilities of the Treasurer:
- Receive and disburse all donations to the organization and pay for any authorized expenses.
- Provide a financial report for the Board of Directors.
- File necessary financial documents and statements in accordance with civil law.
- Chair meetings in the absence of the President and Secretary.
Section 3.3 – Officers will be chosen from within the Board of Directors, as needed.
Section 3.4 – The Board of Directors will serve three-year terms and may resign at any time with 30 days’ written notice. Vacancies on the Board of Directors will be filled at the annual meeting, or as needed, at the direction of the Board of Directors.
Section 3.5 – A Director may be removed at any time for cause by a two thirds (2/3) vote of all other Directors.
Article IV‑ Meetings & Voting
Section 4.1 – MACC (including the Board of Directors) will gather on the Second Thursday of the month unless canceled or changed by the Board.
Section 4.2 – The Board of Directors shall meet as often as needed, with a minimum of six meetings per year.
Section 4.3 – Any matters brought to MACC Members for a vote by the Board of Directors will require a quorum of a minimum of half of the MACC membership. Unless otherwise noted, all votes shall be decided by a simple majority of the quorum.
Section 4.4 – Meetings of the Board of Directors require a quorum of greater than half of the Directors. All Board decisions, unless otherwise noted, will be decided by a simple majority of the Board of Directors.
Section 4.5 – Any items being presented to the membership for a vote will be announced at least one week prior to the annual, regular, or special meeting called by the Board of Directors.
Section 4.6 – The Annual Meeting Date Is set for the Second Thursday in February each year. The board may change this date my majority vote of more than half of the Directors.
Article V ‑ Committees
Section 5.1 – The Board may create committees as necessary at any regular meeting.
Section 5.2 – A Bylaw Committee will be formed by the Board of Directors if requested by more than half of the MACC membership.
Article VI ‑ Amendments
Section 6.1 – These bylaws may be amended by the MACC Membership. Any amendments, as recommended by the Bylaw Committee, shall be presented to the Board of Directors at least two weeks prior to the meeting where the membership will be asked to approve of the amendment.
Section 6.2 – Amendments will go into effect immediately once approved by two-thirds (2/3) of the voting members.
